Siloq provides an SEO governance platform that helps WordPress website owners:

• Analyze website content for keyword cannibalization
• Plan and implement Reverse Silo content architecture
• Generate AI-assisted content that complies with SEO governance rules
• Monitor and maintain content structure over time

The Service includes a web-based dashboard, WordPress plugin, and related tools and features.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Requirements

You must be at least 18 years old to create an account and use our Service. By creating an account, you represent that you meet this requirement.

3.3 One Account Per User

Each account is for a single user. You may not share your account credentials with others or allow multiple people to use a single account.

4. Subscription and Payment Terms

4.2 Billing

4.5 Refunds

4.6 Taxes

You are responsible for any applicable taxes. If we are required to collect taxes, they will be added to your invoice.

6. Acceptable Use Policy

6.3 WordPress Site Requirements

When connecting WordPress sites to Siloq:

• You must own the site or have explicit authorization from the owner
• You are responsible for maintaining proper backups
• You must have the legal right to modify content on the site
• You agree that Siloq may access, analyze, and modify content as directed by you through the Service

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Siloq and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of content you create or upload through the Service (“Your Content”). By using the Service, you grant us a limited license to:

• Store, process, and display Your Content as necessary to provide the Service
• Analyze Your Content to provide SEO recommendations and governance features
• Generate derivative content (such as AI-generated drafts) based on your instructions

7.3 AI-Generated Content

Content generated by our AI features is created based on your inputs and directions. You are responsible for reviewing, editing, and approving all AI-generated content before publication. You own the final content you publish, subject to any third-party rights in source materials.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.

8. Third-Party Services and Integrations

The Service integrates with WordPress through our plugin. We are not responsible for:

• WordPress core functionality or updates

10.2 No Guarantee of Results

We do not guarantee any specific SEO results, search engine rankings, traffic increases, or business outcomes from using the Service. SEO results depend on many factors outside our control, including search engine algorithms, competition, and your implementation of recommendations.

10.3 AI Content Disclaimer

AI-generated content is provided as a starting point and requires human review. We do not guarantee that AI-generated content will be:

• Accurate, complete, or error-free
• Free from plagiarism or copyright issues
• Suitable for your specific purposes without modification

You are solely responsible for reviewing, editing, and approving all content before publication.

10.4 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services integrated with our Service.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILOQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

You agree to indemnify, defend, and hold harmless Siloq, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, upload, or publish through the Service
• Your WordPress sites connected to the Service

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service or maintain an account.

13.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at support@siloq.ai. Cancellation takes effect at the end of your current billing period.

13.3 Termination by Us

We may suspend or terminate your account at any time if:

• You breach these Terms
• You fail to pay fees when due
• We are required to do so by law
• We discontinue the Service

13.4 Effect of Termination

Upon termination:

• Your access to the Service will end
• Your subscription will not renew
• We may delete your data after a reasonable retention period
• Provisions that by their nature should survive will remain in effect (including Sections 7, 10, 11, 12, and 14)

You may export your data before termination through the Service’s export features or by contacting support.

14. Dispute Resolution

Before filing any formal dispute, you agree to contact us at support@siloq.ai and attempt to resolve the dispute informally for at least 30 days.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

14.3 Jurisdiction

Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in Florida. You consent to personal jurisdiction in these courts.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Siloq regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations without restriction.

15.6 Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, labor disputes, government actions, or internet or telecommunications failures.
